These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "User") and SageSigma ("the Company," "we," "us," or "our"), based in Coimbatore, Tamil Nadu, India. These Terms govern your access to and use of the website at sagesigma.com (the "Site") and all tools, calculators, parsers, formatters, blog content, and related services offered through the Site (collectively, the "Services").

1. Acceptance of terms

By accessing or using the Site or Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Site or Services.

These Terms are an electronic record in terms of the Information Technology Act, 2000 and the rules framed thereunder. This electronic record is generated by a computer system and does not require any physical or digital signatures.

2. Description of services

SageSigma provides blog content, tools, calculators, parsers, formatters, and related resources focused on eCommerce and online business topics. All Services are provided for informational and educational purposes only.

3. Tools and calculators — important disclaimers

3.1 Estimates only

All calculators, tools, and interactive features on the Site produce estimates. Results may not account for variables that affect your specific situation, including but not limited to: taxes (including GST and other applicable Indian or foreign taxes), shipping costs, payment processing fees, currency fluctuations, regional pricing differences, promotional discounts, inventory carrying costs, or changes in market conditions between the time of calculation and the time of any decision.

We do not guarantee the accuracy, completeness, currency, or applicability of any calculation, output, or result generated by the Site's tools. You should independently verify all figures and assumptions before relying on them.

3.2 No financial, legal, or professional advice

Nothing on this Site constitutes professional advice of any kind. Specifically, no content, tool, calculator, blog post, or other material on SageSigma is intended to be, or should be taken as:

  • Financial advice, investment advice, or trading recommendations;
  • Legal advice or guidance on regulatory compliance;
  • Tax advice, including advice on GST, income tax, or any other tax regime;
  • Accounting advice or guidance on financial reporting standards;
  • Business advice specific to your circumstances, industry, or jurisdiction.

3.3 User responsibility

You assume full and sole responsibility for:

  • Any business, financial, pricing, or operational decisions you make;
  • Verifying the accuracy and applicability of any tool output to your situation;
  • Complying with all applicable laws, regulations, and tax obligations in your jurisdiction, including but not limited to the Goods and Services Tax (GST) regime, Income Tax Act, 1961, and the Companies Act, 2013 (if applicable);

4. User content and data handling

4.1 Data you upload

Certain Services (such as the CSV Parser and JSON Formatter) allow you to upload or paste data for processing ("User Content"). You retain all ownership rights in any User Content. By uploading or pasting User Content, you represent that you have the right to use and process such data and that doing so does not violate any applicable law or third-party rights.

Currently, all tool processing occurs client-side in your browser. Your User Content is not transmitted to, stored on, or logged by our servers. We do not read, inspect, or retain the content of files you upload or paste.

4.2 Server-side processing (if introduced)

If we introduce server-side processing for any tool in the future, we will:

  • Process User Content solely to generate the requested tool output;
  • Automatically delete User Content within 30 calendar days of upload;
  • Never sell, license, share, or use User Content for advertising, training, marketing, or any purpose unrelated to providing the requested Service.

4.3 Prohibited content

You agree not to upload, paste, or transmit any User Content that:

  • Is unlawful, defamatory, obscene, or otherwise objectionable under Indian law;
  • Infringes any intellectual property rights, privacy rights, or other proprietary rights of any third party;
  • Contains malware, viruses, trojans, worms, or any other malicious or harmful code;
  • Violates any provision of the Information Technology Act, 2000, the Indian Penal Code, or any other applicable law.

5. Intellectual property

All content published on the Site — including text, graphics, logos, tool interfaces, source code, design elements, and the selection and arrangement thereof — is owned by or licensed to SageSigma and is protected by applicable copyright, trademark, and intellectual property laws of India, including the Copyright Act, 1957.

You may share links to publicly accessible pages on the Site freely. You may not reproduce, distribute, modify, or create derivative works of substantial portions of the Site's content without prior written permission. For permissions, contact us at the address below.

6. Acceptable use

You agree not to:

  • Use the Site or Services in any way that violates applicable Indian laws or regulations;
  • Attempt to disrupt, overload, impair, or gain unauthorized access to the Site or its underlying infrastructure (including Cloudflare's network);
  • Use automated means (scraping, bots, scripts) to extract data from the Site in a manner that imposes unreasonable load on our servers;
  • Misrepresent your identity or affiliation when contacting us;
  • Use the Site or Services to develop or train competing products or services.

7. Third-party links and services

The Site may contain links to third-party websites or services. We do not endorse and are not responsible for the content, accuracy, practices, or policies of any third-party site. You access third-party links at your own risk.

8. Disclaimer of warranties

THE SITE AND ALL SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, SAGESIGMA DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY OF INFORMATION.

We do not warrant that the Site will be uninterrupted, error-free, secure, or free of harmful components, or that any defects or errors will be corrected. We make no representations regarding the accuracy, reliability, timeliness, or completeness of any content, tool output, or calculation on the Site.

9. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, SAGESIGMA AND ITS OWNERS, AUTHORS, CONTRIBUTORS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES — INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST REVENUE, LOST BUSINESS OPPORTUNITY, BUSINESS INTERRUPTION, OR LOSS OF DATA — ARISING FROM OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE SITE, SERVICES, OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL SAGESIGMA'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF THE SITE EXCEED ONE HUNDRED INDIAN RUPEES (₹100.00). IF YOU ARE DISSATISFIED WITH THE SITE OR SERVICES, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USE OF THE SITE.

Nothing in this Section shall operate to exclude or limit liability that cannot be excluded or limited under applicable Indian law, including liability for fraud or fraudulent misrepresentation.

10. Indemnification

You agree to indemnify, defend, and hold harmless SageSigma and its owners, authors, contributors, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from or related to: (a) your use of the Site or Services; (b) your User Content; (c) your violation of these Terms; or (d) your infringement of any third-party rights or applicable law.

11. Force majeure

SageSigma shall not be liable for any failure or delay in the performance of its obligations under these Terms arising from or attributable to causes beyond its reasonable control, including but not limited to: acts of God, natural disasters, fire, flood, earthquake, epidemic or pandemic; war, terrorism, riot, civil commotion, or insurrection; governmental action, law, regulation, or embargo; strikes, labour disputes, or other industrial disturbances; failure or interruption of utility, internet, telecommunications, or third-party hosting services; DDoS attacks, cyber-attacks, or other malicious interference; or failure of third-party software, hardware, or services (collectively, "Force Majeure Events").

In the event of a Force Majeure Event, SageSigma will make commercially reasonable efforts to restore the affected Services as soon as practicable under the circumstances. This clause is without prejudice to the doctrine of frustration under Section 56 of the Indian Contract Act, 1872.

12. Termination

We reserve the right to suspend or terminate your access to the Site or Services at any time, with or without cause and with or without notice, including for violation of these Terms. Upon termination, your right to use the Site and Services will immediately cease. The provisions of these Terms that by their nature should survive termination — including but not limited to Sections 3, 4, 5, 8, 9, 10, 11, 13, 14, 15, and 16 — shall survive termination.

13. Dispute resolution

13.1 Amicable resolution

In the event of any dispute, claim, or disagreement arising from or related to these Terms or your use of the Site ("Dispute"), both parties shall first attempt to resolve the Dispute amicably through mutual negotiations. You agree to first contact us at legal@sagesigma.com and provide a written description of the Dispute. Both parties agree to negotiate in good faith for a period of at least thirty (30) days before initiating any formal legal proceeding.

13.2 Governing law

These Terms shall be governed by and construed in accordance with the laws of India, including but not limited to the Indian Contract Act, 1872, the Information Technology Act, 2000, and the Copyright Act, 1957, without regard to principles of conflict of laws.

13.3 Jurisdiction

Subject to Section 13.1, any Dispute that cannot be resolved through amicable negotiation shall be subject to the exclusive jurisdiction of the courts of Coimbatore, Tamil Nadu, India. You and SageSigma each irrevocably submit to the personal jurisdiction and venue of such courts.

13.4 Limitation period

Any claim or cause of action arising from or related to these Terms or your use of the Site must be filed within one (1) year from the date the claim or cause of action arises, failing which such claim or cause of action shall be permanently barred, to the extent permitted by the Limitation Act, 1963.

14. Severability

If any provision of these Terms is found to be unenforceable, invalid, or contrary to law by a court of competent jurisdiction, that provision shall be severed or limited to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

15. Entire agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and SageSigma regarding your use of the Site and Services, superseding any prior or contemporaneous agreements, communications, or understandings, whether written or oral.

16. Changes to these terms

We reserve the right to update or modify these Terms at any time at our sole discretion. Changes will become effective no earlier than fourteen (14) days after they are posted on this page, except that changes made to address new features, legal requirements, or security concerns will take effect immediately. Your continued use of the Site after changes become effective constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must discontinue use of the Site.
